Welcome to Speech & Mind Hub, LLC. These Terms and Conditions (“Terms”) govern your use of our website and services. By accessing our website or using our services, you agree to be bound by these Terms.

  1. Agreement to Terms

By using our website (speechandmindhub.com) or engaging our services, you agree to comply with and be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these Terms, please do not use our website or services.

Speech & Mind Hub, LLC (“we,” “our,” or “us”) provides professional communication coaching, training, and development services, including:

  • Private one-on-one coaching sessions
  • Group training programs
  • Corporate workshops and programs
  • Events and seminars
  • Certificate programs for communication professionals

Our services are designed for adult professionals seeking to enhance their communication and leadership skills.

  1. Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement.

  1. Registration and Account

To access certain services, you may need to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use
  • Accept responsibility for all activities under your account

You agree to provide truthful, accurate, and complete information during registration and to keep this information updated.

  1. Services and Payment Terms

Booking and Scheduling

  • Sessions and programs are scheduled through Calendly or by direct arrangement
  • You will receive confirmation of your booking via email
  • Virtual sessions are conducted via Zoom

Payment

  • Payment is required at the time of booking unless otherwise arranged
  • We accept payment via Stripe (credit/debit cards)
  • All fees are in U.S. Dollars (USD)
  • Prices are subject to change, but you will be charged the price in effect at the time of booking

Invoicing

  • Invoices will be sent via email
  • Payment is due within the timeframe specified on the invoice
  • Late payments may result in suspension of services
  1. Cancellation and Refund Policy

Private Coaching Sessions

  • 24-hour notice is required to cancel or reschedule
  • Cancellations made with less than 24 hours notice will result in forfeiture of the full session fee
  • No-shows will be charged the full session fee
  • Rescheduling is subject to availability

Group Programs and Workshops

  • 7-day notice is required for a refund
  • Refunds will be issued minus processing fees (typically 3-5%)
  • You may transfer your spot to a colleague with advance notice
  • Cancellations made with less than 7 days notice are non-refundable

Corporate Programs

  • Cancellation terms are outlined in individual service agreements
  • Custom corporate programs may have different cancellation policies

Emergency Situations

  • Emergency cancellations will be considered on a case-by-case basis
  • We may require documentation for emergency cancellations
  • Contact us at info@speechandmind.com to discuss emergency situations

Our Right to Cancel

We reserve the right to cancel or reschedule services due to:

  • Instructor illness or emergency
  • Insufficient enrollment
  • Force majeure events

In such cases, you will receive a full refund or the option to reschedule.

  1. Intellectual Property Rights

Our Content

All content on our website and in our programs, including but not limited to:

  • Text, graphics, logos, images, videos
  • Course materials, handouts, and resources
  • Proprietary training methodologies
  • Website design and layout

is the exclusive property of Speech & Mind Hub, LLC and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

Your License

We grant you a limited, non-exclusive, non-transferable license to:

  • Access and use materials provided as part of purchased services
  • Use materials for personal or internal business purposes only

Restrictions

You may NOT:

  • Reproduce, distribute, or publicly display our materials without written permission
  • Modify, create derivative works, or reverse engineer our content
  • Remove copyright or proprietary notices
  • Share login credentials or course access with others
  • Record, screenshot, or redistribute virtual sessions without permission
  • Use our materials for commercial purposes or to train others
  1. Client Responsibilities

As a client, you agree to:

  • Arrive on time for scheduled sessions (virtual or in-person)
  • Participate actively and respectfully
  • Complete any pre-work or assignments as requested
  • Maintain confidentiality of other participants’ information (in group settings)
  • Use services for lawful purposes only
  • Not engage in disruptive, abusive, or harassing behavior
  1. Confidentiality

What We Keep Confidential

We respect the confidential nature of coaching relationships and will not disclose:

  • Specific content discussed in private sessions
  • Personal information shared during coaching
  • Company-specific information from corporate clients

Exceptions

Confidentiality does not apply when:

  • Disclosure is required by law
  • There is an imminent risk of harm to self or others
  • You provide written consent to share information
  • Information is already publicly available

Group Settings

In group programs and workshops, participants are expected to maintain confidentiality regarding personal information shared by other participants.

  1. Professional Relationship and Disclaimer

Nature of Services

We provide communication and leadership coaching to help you develop professional skills. Our services are NOT:

  • Psychotherapy or mental health counseling
  • Medical advice or treatment
  • Legal counsel or accounting/financial advisory services
  • A guarantee of specific outcomes or results

No Guarantees

While we strive to provide high-quality services, we cannot guarantee:

  • Specific results or outcomes
  • Career advancement or promotions
  • Increased income or business success
  • Resolution of all communication challenges

Your Responsibility

You are responsible for:

  • Your own decisions and actions
  • Implementing strategies and techniques shared
  • Results achieved through use of our services
  • Seeking appropriate professional help when needed (medical, legal, therapeutic, etc.)
  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Speech & Mind Hub, LLC, its owners, employees, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage
  • Errors or omissions in content
  • Actions taken based on information provided in our services

Our total liability for any claims arising from our services shall not exceed the amount you paid for the specific service giving rise to the claim.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Speech & Mind Hub, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

Technology Disclaimer

We are not responsible for connectivity issues, service interruptions, technical failures, or data loss due to third-party platforms (including but not limited to Zoom, Calendly, Stripe, or internet service providers). While we make reasonable efforts to ensure smooth delivery of our services, we cannot guarantee uninterrupted access to virtual sessions or online platforms. In the event of technical difficulties beyond our control, we will work with you to reschedule or provide alternative arrangements when possible.

  1. Recording, Photography, and Confidentiality

Private Coaching or Consulting Sessions

  • Recording (audio, video, or screenshots) by clients is strictly prohibited without prior written consent from Speech & Mind Hub, LLC
  • We do not record private sessions unless you have provided explicit written consent for a specific, agreed-upon purpose (for example, so that you can review your own session)
  • Confidentiality is fully respected in all private coaching sessions

Workshops and Training Programs

  • Participants may not record (audio, video, or photos) of workshops, group sessions, or training events without prior written permission from Speech & Mind Hub, LLC
  • We may record or photograph portions of group sessions for documentation, internal review, or promotional materials, but participants will always be notified in advance
  • By attending, you acknowledge that such recording or photography may occur and consent to being included in these materials unless you notify us otherwise
  • No Expectation of Confidentiality in Group Settings: While we encourage all participants to respect each other’s privacy, please note that we cannot guarantee confidentiality in group or public settings. Participants are responsible for deciding what personal information they wish to share

Public Events and Mixers

  • During public events, networking mixers, or community gatherings, photos and videos may be taken for use in Speech & Mind Hub, LLC’s promotional materials, website, or social media
  • By attending, you grant permission for your image and likeness to be used for these purposes
  • If you prefer not to appear in photos or videos, please inform our team before or during the event, and we will accommodate your request
  1. Modifications to Services and Terms

We reserve the right to:

  • Modify, suspend, or discontinue any service at any time
  • Update these Terms and Conditions
  • Change pricing for services (with notice for existing clients)

Material changes to these Terms will be posted on our website with an updated “Last Updated” date. Your continued use of our services after changes constitutes acceptance of the modified Terms.

You may terminate your relationship with us at any time by:

Termination does not relieve you of obligations to pay for services already rendered.

Informal Resolution

Before filing any formal legal action, you agree to first contact us at info@speechandmind.com to attempt to resolve the dispute informally.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in Sacramento, California, in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial or to participate in a class action lawsuit.

Exceptions

Either party may seek injunctive relief in court for:

  • Intellectual property infringement
  • Confidentiality breaches
  • Other matters requiring immediate legal remedy
  1. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

  1. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Speech & Mind Hub, LLC regarding use of our services and supersede all prior agreements and understandings.

  1. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

  1. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

  1. Force Majeure

We are not liable for delays or failures due to circumstances beyond our control, including natural disasters, health emergencies, government actions, internet/technology failures, or other unforeseeable events.
